1. Acceptance of Terms

By accessing and using the ScribeLocal website and software, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. End User License Agreement

This software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and noninfringement.

By installing and using this software, you agree to the following terms:

2.1 License Grant

The software is licensed for use according to the terms of your license agreement. You must have a valid license to use this software. Licenses are non-transferable and may be used only on the device(s) for which they were purchased.

2.2 Restrictions

You may not reverse engineer, decompile, or disassemble the software. You may not redistribute, sublicense, or sell copies of the software without explicit written permission from the software provider. You may not modify, adapt, or create derivative works based on the software.

2.3 Unauthorized Use and Piracy

You may only use this software with a valid, legally obtained license key. The use of this software without a valid license, or with a fake, cracked, modified, tampered, or otherwise unauthorized license key is strictly prohibited and constitutes software piracy. Such unauthorized use violates copyright laws and may result in legal action. You agree not to attempt to bypass, circumvent, or disable the licensing mechanism, and not to use any tools, patches, or modifications designed to enable unauthorized use of the software.

2.4 Offline Processing

The software uses offline processing - all audio data remains on your local machine and is never transmitted to external servers. This ensures complete privacy and security of your data.

2.5 Transcription Accuracy

The software uses advanced machine learning models to transcribe audio content. However, transcription accuracy is dependent on various factors including but not limited to audio file quality, recording conditions, background noise, speaker articulation, audio clarity, and language complexity. The software provider does not guarantee 100% transcription accuracy or completeness. Users are responsible for reviewing and verifying transcriptions for accuracy, completeness, and correctness. The software provider is not liable for any errors, omissions, or inaccuracies in transcriptions, and users should exercise professional judgment when relying on transcription outputs.

2.6 System Responsibility

You are solely responsible for your computer system, including but not limited to hardware performance, system stability, temperature management, and any potential overheating or hardware damage. The software provider is not responsible for any hardware issues, system failures, or damage to your computer that may occur while using this software.

2.7 Data Loss

We are not responsible for any data loss, corruption, or damages resulting from the use of this software. It is your responsibility to maintain backups of your data.

2.8 Limitation of Liability

In no event shall the software provider be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with this software.

3. Free Trial

ScribeLocal offers a 7-day free trial period. During this trial, you have full access to all features of the software. No credit card or registration is required to start the trial. The trial period begins automatically when you first launch the application.

After the trial period expires, you must purchase a valid license to continue using the software.

4. Payment and Refunds

All license purchases are processed through our payment provider. Prices are displayed in EUR (Euros) and may be subject to change without notice. License fees are non-refundable except as required by law or at our sole discretion.

Once a license is activated, it cannot be transferred to another device without explicit authorization from the software provider.

5. Intellectual Property

The ScribeLocal software, including its code, design, graphics, and documentation, is protected by copyright, trademark, and other intellectual property laws. All rights are reserved by the software provider.

You acknowledge that the software contains proprietary and confidential information. You agree not to disclose, copy, or distribute any portion of the software without prior written consent.

6. Termination

Your license to use the software will automatically terminate if you violate any of these terms. Upon termination, you must immediately cease all use of the software and destroy all copies in your possession.

We reserve the right to terminate or suspend access to the software at any time, with or without cause or notice, for any reason.

7. Updates and Modifications

We may release updated versions of the software from time to time with bug fixes, feature enhancements, or security improvements. Since ScribeLocal is a fully offline application, updates are not automatically downloaded or installed. You may choose to download and install newer versions of the software from our website if you wish.

Your existing license will continue to work with older versions of the software. If you choose to upgrade to a newer version, your existing license will remain valid and will work with the new version, unless otherwise specified.

We reserve the right to modify these Terms of Service at any time. Continued use of the software after such modifications constitutes acceptance of the updated terms.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising from these terms or the use of the software shall be resolved through appropriate legal channels.

10. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
